Contract Drafting & Review
The ideal contract is clear, specific, and anticipates important contingencies. A well drafted contract will help avoid litigation and, in the event litigation becomes necessary, will help that a just result is reached. A poorly drafted contract, on the other hand, may actually invite litigation and may not even be enforceable. When possible, it is generally better to use a contract drafted by your attorney than it is to use a contract drafted by the other party’s attorney. Even if an agreement seems simple, it is wise to have it reviewed by a contract attorney (including leases). Contract litigation experience is essential when it comes to understanding what makes a strong agreement.

Business Formation & Start-Up
Choosing the proper structure for starting a new business is an important decision. This is especially true when there is more than one person forming the business, as is generally the case. First, prospective business owners generally want to shield themselves from personal liability. In other words, if someone brings a claim against the business, the owners typically want to make sure the claimant cannot come after the owner's personal assets. Owners also have to decide what type of tax treatment will benefit them most. Equally important, but often overlooked, is the importance of clearly defining the relationship between and among the various owners and anticipating the addition or departure of owners in the future.
For-profit businesses in California basically fall into three categories – unincorporated, incorporated, and limited liability corporations. Unincorporated businesses are either sole proprietorships or partnerships. An incorporated business initially forms as a C-Corporation, but can subsequently elect to become S-Corporation, thus changing the corporation's tax treatment. An LLC is a hybrid of the incorporated and unincorporated business structures, combining many of the liability and tax benefits of each.
